Ella acts for clients across a variety of sectors on a broad range of corporate advice and transactions including mergers and acquisitions, initial public offerings, capital raisings, employee share schemes and corporate governance matters. 

Recent highlights

  • Acting for the consortium of Northleaf Capital and InfraRed Capital Partners on the $1.7b acquisition of Vodafone New Zealand’s passive mobile network to create New Zealand’s largest independent tower company.
  • Acting for NZX and ASX listed Heartland Group Holdings on its $210 million placement and accelerated non-renounceable entitlement offer, enabling it to complete its acquisition of Challenger Bank, now Heartland Bank Australia.
  • Advising FTSE 100-listed specialist international distribution and services group Bunzl plc on its acquisitions of Universal Specialities, Toomac Holdings, DBM Medical and Cubro Holdings.
  • Advising property fund manager, Centuria Funds Management (NZ) Limited, on the establishment of two new property funds, Centuria NZ Agricultural Property Fund Limited and Centuria NZ Value-Add Fund No. 2 LP, and the associated offers to raise $18 million and $23.5 million, respectively.
  • Advising Embark Education on the $46m sale of its New Zealand education centres and re-domiciling via a court approved scheme of arrangement.
  • Advising NZX and ASX listed New Zealand King Salmon on its $60.1 million rights offer.
