Philip specialises in corporate and securities law, with a particular focus on equity capital markets, corporate governance, public mergers and acquisitions, and listed company compliance.

He acts for issuers, arrangers and underwriters on all aspects of initial public offerings and capital raisings, and has advised on many of New Zealand’s most significant initial public offerings and other equity capital markets transactions. He has also worked on a range of public and private mergers and acquisitions.

Philip is recognised as Highly Regarded by IFLR1000 and as a Most Influential Lawyer by NZ Lawyer. He also serves as an Associate Director of the New Zealand Shareholders’ Association.

  • Advising Jarden, Craigs Investment Partners and Forsyth Barr, as underwriters and lead managers, on Ryman Healthcare’s approximately $1b equity raise, comprising a $313m underwritten institutional placement and an approximately $688m underwritten accelerated non-renounceable entitlement offer.
  • Advising Jarden and Macquarie, as underwriters and lead managers, on Auckland International Airport’s $1.4b equity raise, comprising a $1.2b underwritten placement and a $200m non-underwritten retail offer.
  • Advising Jarden, as underwriter and lead manager, on Fletcher Building’s $700m equity raise, comprising a $282m underwritten placement and a $418m underwritten accelerated non-renounceable entitlement offer.
  • Advising Shift4, a NYSE-listed financial technology company, on its take-private of former NZX-listed payments company Smartpay.
  • Advising Winton Land on its $350m initial public offering and listing, and My Food Bag on its $342m initial public offering and listing, on the NZX Main Board and ASX.
  • Advising Envest, an Australian insurance distribution business, on its acquisition of Ando Insurance Group, an independent underwriting agency in New Zealand.
  • Advising Bunzl, an LSE-listed specialist international distribution and services group, on its New Zealand acquisitions of Obex Medical Holdings, Universal Specialities, Toomac Holdings, DBM Medical and Cubro Holdings.
