Jana is a structured finance specialist, with a particular focus on securitisation, as well as project and infrastructure finance.
She advises financial institutions, originators, and trustees on a wide range of securitisation warehouse funding programmes and term-out transactions.
Jana also advises on project finance and infrastructure transactions, acting on both the financing and acquisition of major energy and infrastructure projects. Her experience at top-tier law firms in London and Sydney strengthens the commercial and technical perspective she brings to New Zealand transactions.
Recent highlights
- Advising Challenger on the acquisition and securitisation financing of Spark New Zealand’s $240m interest-free handset receivables portfolio.
- Assisting BNZ, ANZ, and Société Générale as arrangers and joint lead managers on the $650m public term securitisation for UDC Finance, the largest term securitisation transaction in New Zealand to date.
- Advising Westpac on the complex and innovative project financing of Lodestone Energy’s five solar farms in the North Island, involving staged construction and operational phases for all five farms funded under the same facility and through the same special purpose vehicle (SPV) borrower.
- Advising BNZ and MUFG as lenders to Solar-Gen JV (a joint venture between Genesis Energy and FRV) on the project financing of the 47MW Lauriston solar project.
- Assisting four banks and the independent security trustee, New Zealand Guardian Trust, in providing approximately $600m in syndicated project financing to Te Rūnanga o Toa Rangatira for the purchase of more than 40 school properties from the Crown as part of its Treaty settlement.
- Advising Ontario Teachers’ Pension Plan Board (OTTP) and, subsequently, Connexa on all financing aspects of the initial acquisition of 70% of Spark’s mobile tower business, 100% of 2degrees’ mobile tower business, and OTPP and Spark’s divestment of 50% of the Connexa Group, including the financing implications of those transactions and related changes in shareholding.
