Chapman Tripp is delighted to have advised InfraRed Capital Partners (InfraRed) on its acquisition of C3 from Brookfield, providing integrated M&A and acquisition finance advice on the transaction.
C3 is a leading New Zealand-headquartered port logistics and materials handling business, operating 15 strategic port and inland sites across New Zealand and Australia. It plays a key role in regional import and export supply chains, with a market-leading position in forestry logistics and container handling.
The acquisition of C3 represents a further significant investment in the New Zealand infrastructure sector by InfraRed, a leading international mid-market infrastructure asset manager, which manages approximately US$13bn of equity capital for investors globally.
Partner Rachel Dunne, who led the Chapman Tripp team, said:
We are delighted to have advised InfraRed on this important acquisition. C3 plays a critical role in supporting New Zealand and Australian exporters and supply chains. The transaction reflects continued investor interest in resilient infrastructure and logistics platforms with strong growth potential.
InfraRed’s acquisition provides a platform for continued investment and growth across the logistics value chain, building on C3’s strong market position, long-standing customer relationships and operational capability.
The Chapman Tripp corporate team also included Philip Ascroft, Hillary Roberts, Ruth Wright and Ruby Sussock, who each played a key role in delivering the transaction.
Chapman Tripp’s finance team, led by partner Gerard Souness, advised InfraRed on the debt financing for the acquisition, working alongside the corporate team through to completion. The debt financing also includes new working capital facilities for C3 to support the continued operation of the business, as well as acquisition funding from a syndicate of banks. The finance team also included Max Smith, Emerald Bendall and Cassandra Pauling-Munro.
